# Ares Audio End User Licence Agreement

This is the licence agreement between you and **Cevahir Bayram Felix Cuma, trading as Ares Audio, Konrad-Celtis-Str. 11, 81369 München, Germany**, hello@aresaud.io ("Ares Audio").

"Software" means the Ares Audio plug-in you obtained: the plug-in named in your licence e-mail (for example Ares DRV, Ares VRB or Ares DLY) or the free Ares EQ. Each licence covers one plug-in; a bundle is one separate licence per plug-in. "Version 1" means every release numbered 0.x or 1.x, including beta builds and the first regular release.

## 1. What this agreement covers

This Agreement sets out how you may use the Software. It applies to licences for which you agreed to these terms when obtaining the licence, after we drew your attention to them and gave you a reasonable opportunity to read them. It does not change the terms of a licence you already hold.

This Agreement does not set the price or the terms for payment, tax, invoices, refunds or withdrawal; those belong to your purchase. Nothing in this Agreement changes who is responsible to you under your purchase contract or under statutory law.

This Agreement does not limit your statutory rights as a consumer.

## 2. Your licence

Ares Audio grants you a non-exclusive licence, with no expiry date, to use Version 1 of the Software.

One licence is for **one person on up to three computers**, which that person may use at the same time. The computers must be your own or under your lawful control. The limit counts computers, not plug-in formats or host applications.

You may use the Software for private and commercial work, including paid productions and client projects. What you create with it is yours; Ares Audio claims no rights in it and no royalties.

More people need more licences. If a business acquires the licence, it designates one individual as the user. It may reassign the licence to another individual within the same business by contacting us, provided the previous user stops using it under that licence and their computers are released.

## 3. Versions and updates

Your licence covers Version 1 and every update we release for it, at no extra cost. We do not promise new features or a release schedule; updates the law requires to keep the Software in conformity are not affected. System requirements are stated on the product page.

A later product clearly sold as a new major version (for example "Ares VRB 2") is not included. Its release does not end or reduce your licence, and you do not have to upgrade.

## 4. Free licences and beta builds

A free licence — Ares EQ, or a licence given to a beta tester — grants the same rights of use as a paid licence and does not expire when the beta ends. It does not depend on feedback, reviews or publicity and imposes no confidentiality obligation: you may talk about the Software publicly and share screenshots and audio.

Ares EQ does not require a licence key. As an exception to the three-computer limit in section 2, you may use Ares EQ on any number of computers that are your own or under your lawful control. The rest of section 2 applies to Ares EQ as well, except that a business may reassign its Ares EQ licence without contacting us and without a computer release.

Releases numbered 0.x are beta builds. They can contain errors, and an update can change the sound or the controls in a way that affects existing projects. This notice does not remove any right or liability that the law provides.

## 5. Licence key and computers

Every plug-in except Ares EQ is unlocked with a licence key. When you enter the key, the Software registers the computer with our licence server as soon as an internet connection is available. This sends the key and an identifier derived from the computer's hardware; our server stores that identifier only as a hash. At most three computers can be registered per licence at a time.

When you open the plug-in window, the Software may check the licence status in the background. After a successful licence check, it waits at least 24 hours before it checks again on its own; if a check fails, opening the window again may trigger another attempt. The Software also checks for available updates. Ares EQ performs update checks but no licence checks. Without an internet connection, the Software keeps working.

You may change computers as often as you need. To free a slot — also for a computer you no longer have — write to hello@aresaud.io. Once a computer is released, you may no longer use the Software on it under this licence, even if the installed copy still starts.

## 6. Sharing, transfer and copies

Do not share your licence key so that other people can use the Software. You may not rent out or sublicense the Software.

You may transfer a paid licence permanently and as a whole to another person if you stop using the Software and delete your copies. Tell us the new holder's e-mail address so that we can release your computers and issue the key to them. Computer slots cannot be transferred separately. Free licences are personal and not transferable.

You may make the backup copies you need. Your statutory rights to study the Software, correct errors and achieve interoperability are not affected. Beyond that, you may not distribute copies of the Software or bypass its licence mechanism.

## 7. Ownership and third-party components

The Software is protected by copyright and other rights of Ares Audio and its licensors. You receive a right to use it, not ownership of those rights. Third-party and open-source components remain under their own licences, which this Agreement does not restrict.

## 8. Privacy

How we process personal data for licence registration, licence checks and update checks is described in our Privacy Notice at aresaud.io/datenschutz.

## 9. End of the licence

Your licence does not end because the beta ends, a new version appears or you are offline.

A paid licence ends if the purchase contract under which you acquired it is validly ended, for example by withdrawal or rescission. We may then deactivate the corresponding key only if doing so does not prevent you from using the Software under another licence you still hold. A price reduction, or a refund that leaves the purchase contract in place, does not end the licence. A licence you already held independently of that purchase, including a beta licence, remains unaffected.

If a key has been published or is used by people other than the licence holder, we may block that key and will give the licence holder a replacement on request.

When a right of use has ended, stop using the Software under it and remove copies that are no longer covered by any licence you hold.

## 10. Liability, law and changes

Ares Audio is liable in accordance with statutory law; this Agreement contains no exclusion or limitation of liability. Your statutory rights in case of defects are not affected.

We will not reduce your rights under an existing licence by publishing a new version of this Agreement or by an update.

German law applies, excluding the UN Convention on Contracts for the International Sale of Goods. If you are a consumer, you also keep the protection of the mandatory provisions of the law of the country where you live.
